Welcome to UNI Intelligence™
Operated by Unlimited Health Collective Inc.
(“UNI Intelligence,” “UNI,” “Company,” “we,” “us,” or “our”)

These Terms of Use (“Terms”) govern your access to and use of:

• www.uniintelligence.ai (the “Website”)
• The UNI Intelligence web-based application (“Web App”)
• Any future UNI Intelligence mobile apps
• All related digital tools, platforms, features, and services (collectively, the “Services”)

By using the Services, you agree to these Terms.
If you do not agree, discontinue use immediately.

1. Eligibility

You must be 18 years of age or older to access or use the Services.
By using the Services, you represent and warrant that:

• you are at least 18 years old,
• you have the authority to agree to these Terms, and
• you will comply with all applicable laws.

2. Accounts & Security

To access certain features, you may need to create an account.
You agree to:

• provide accurate information,
• maintain the confidentiality of your password,
• be responsible for activity under your account,
• notify us immediately of unauthorized use.

We reserve the right to suspend or terminate accounts for:

• violations of these Terms,
• misuse,
• suspected fraud, or
• security concerns.

3. Use of Artificial Intelligence

The Services may incorporate AI or automated systems that generate insights, responses, recommendations, or prompts.
By using the Services, you acknowledge and agree that:

• AI-generated content is advisory only,
• it is not medical, clinical, psychological, legal, financial, or therapeutic advice,
• outputs may vary,
• you are solely responsible for how you use these insights,
• outputs may vary, AI may use anonymized patterns to improve performance and accuracy.

UNI Intelligence does not guarantee the accuracy, completeness, or suitability of AI-generated responses.

4. User Content

Users may submit content such as:

• notes
• reflections
• written entries
• responses to prompts
• written entriesgeneral inputs within the Services

You retain ownership of your personal content.
By submitting content, you grant the Company a non-exclusive, worldwide, royalty-free license to:

• store your content,
• process it,
• display it within your account,
• and use anonymized and aggregated versions of content to improve the Services.

We do not share personal entries, reflections, or user-generated content with third parties or corporate clients.
You agree not to upload content that is:

• unlawful,
• harmful,
• infringing on intellectual property,
• or violates these Terms.

5. Corporate / Enterprise Accounts

If your employer or organization provides your access:

• Organizations may receive aggregated and anonymized analytics,
• but they cannot access your individual entries, notes, reflections, or private data,
• unless you explicitly choose to share it.

6. Payments & Billing

Payments are processed through Stripe or other approved processors.
You agree to:

• provide accurate billing information,
• authorize charges to your payment method,
• and comply with Stripe’s terms.

All payments are final unless otherwise required by law.

7. Acceptable Use

You agree NOT to:

• exploit or misuse the Services,
• access or attempt to access systems without authorization,
• interfere with service functionality,
• scrape, copy, or reverse-engineer the platform,
• upload harmful code or malware,
• use UNI Intelligence for unlawful purposes.

We may suspend access for violations.

8. Intellectual Property

All content, branding, graphics, design, AI systems, and components of the Services are owned by Unlimited Health Collective Inc.
You may not:

• copy,
• distribute,
• modify,
• or create derivative works
• from any part of the Services without our written permission.

All trademarks, including UNI Intelligence™, are protected.

9. Privacy

Your use of the Services is governed by our Privacy Policy, available at:
www.uniintelligence.ai/privacy
The Privacy Policy is incorporated by reference.

10. Disclaimers

The Services are provided “as is” and “as available.”
We do not guarantee:

• uninterrupted access,
• error-free functionality,
• accuracy of AI outputs,
• completeness of content,
• or suitability for your purposes.

UNI Intelligence is a wellness, performance, and lifestyle support platform — not a provider of:

• medical care
• therapeutic treatment
• clinical services
• legal advice
• financial advice

You assume all risk of using the Services.

11. Limitation of Liability

To the fullest extent permitted by law:

• the Company is not liable for damages arising from your use or inability to use the Services,
• including indirect, incidental, consequential, or punitive damages.

If liability cannot be excluded, it is limited to the amount paid for Services in the past 12 months.

12. Indemnification

You agree to indemnify and hold harmless the Company from any claims arising out of:

• your content,
• your misuse of the Services,
• your violation of these Terms,
• or your violation of laws or third-party rights.

13. Dispute Resolution (Binding Arbitration — No Class Actions)

Any dispute arising from these Terms or the Services will be resolved through binding arbitration under the rules of the American Arbitration Association.

You agree that:

• disputes will be handled individually,
• class actions, class arbitrations, and representative actions are waived,
• arbitration will take place in Delaware, unless both parties agree otherwise.

14. Termination

We may suspend or terminate your access at any time for:

• violations of Terms,
• unlawful activity,
• or protection of the platform and users.

You may stop using the Services at any time.

15. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles.

16. Changes to the Services

We may modify, update, or discontinue any part of the Services at any time.

We provide no guarantee of continued access to any specific feature.

17. Entire Agreement

These Terms, together with the Privacy Policy, form the entire agreement between you and the Company regarding the Services.
